IonQ raises $2.0B by selling shares and giving the buyer two seven-year warrants for every share

IonQ

IonQ priced a $2.0B offering on Oct. 14, selling 20.5M shares and 29.5M pre-funded warrants at $40 each, 15% above the previous close. The buyer, managed by Heights Capital, also received seven-year warrants for 100M shares at $69.46. J.P. Morgan handled the deal. IonQ's share count will rise from 408.9M to 429.4M, or 558.9M if all warrants are exercised. Proceeds will fund general business needs.

Why it matters: IonQ raised $2.0B in a similar deal in 2025, but this offering's $40 price is about 57% lower than the previous $93 per unit. If all new warrants are exercised, IonQ could add 150M shares, increasing its current share count by 37%. It already had about 80M warrants outstanding as of March 31, pending a Q3 update. The $2.0B raise is 4.4 times its expected 2026 revenue of $450–460M.

The 15% premium applies to the shares, but the extra warrants benefit the buyer. IonQ's stock fell about 9.5% on Oct. 14 and later traded near $32.50, below the $40 offering price. If the new warrants are treated as liabilities, like those from 2025, stock price changes could cause major swings in reported results, as seen with Horizon.
